What are you launching?

Answer two quick questions. We’ll highlight the start-up services that fit your situation — then you can book a call to make it official.

Step 1 — Your structure
Why it matters

The paperwork you skip today becomes the penalty letter tomorrow.

Choosing a name, registering with HMRC or Companies House, appointing officers, and knowing when PAYE kicks in are not side quests — they are the foundation every bank, client and inspector will check.

Dinson & Co. exists so founders in Nottingham and across the UK can start trading with the right structure, the right registrations, and a named accountant who already knows the plan.

What we cover

Four pillars of a clean launch

Each service stands alone or stacks together — most founders need at least two from day one.

Company Formations

We guide name choice, SIC codes, share structure, directors and registered office — then file your incorporation with Companies House so your limited company exists on day one of the plan, not week six of guessing.

  • Name availability & structure advice
  • Electronic Companies House filing
  • Share certificates & first registers

Company Secretarial Services

Once incorporated, statutory duties never pause. We keep registers current, file confirmation statements, and update Companies House when people or addresses change — so compliance stays invisible until you need a board pack.

  • Confirmation statements
  • Director & PSC updates
  • Statutory books maintenance

Self-Employed Registration

Going freelance or trading in your own name? We register you with HMRC as a sole trader, explain National Insurance Class 2/4, and set up a financial structure that scales if you later incorporate.

  • HMRC self-employment setup
  • Tax & NI orientation
  • Path to limited company later

PAYE Registration

Hiring staff or taking a director’s salary means an employer PAYE scheme. We register you with HMRC, connect payroll, and make sure the first payday is RTI-ready — then hand over to ongoing payroll services if you want.

  • Employer PAYE scheme setup
  • First payroll readiness
  • HMRC employer reference handled
How we work

From first call to trading — four clear moves

No mystery process. You always know what happens next and who owns it.

  1. 01

    Discovery call

We map your idea, risk appetite, and whether limited company or sole trader fits — including tax and liability trade-offs in plain English.

  2. 02

    Structure & filings

Documents prepared, details checked, then filed with Companies House or HMRC. You get confirmation the moment registration lands.

  3. 03

    Systems ready

Banking intros, bookkeeping setup, PAYE if needed, and secretarial calendars so day-two operations are as clean as day-one filings.

  4. 04

    Trade with confidence

You focus on customers. We stay on deadlines, confirmations and the next registrations as you grow.

Common questions

Start-up, explained plainly

Still unsure about structure or timing? Ask us directly — a clear answer beats another forum thread.

Ask a question

It depends on risk, tax position, and how you plan to grow. Sole trader status is simpler and cheaper to start; a limited company offers limited liability and can be more tax-efficient as profits rise. We walk through both options with you before you file anything.

Once we have your proposed name, registered office, directors, shareholders and SIC codes, Companies House typically incorporates a standard electronic application within 24 hours. Same-day options are available when timing is critical.

You must register as an employer with HMRC before the first payday if you will pay staff (including yourself as a director taking a salary) above the Lower Earnings Limit, or if anyone has another job or receives a pension. We handle the registration and set up payroll from day one.

We maintain statutory registers, file confirmation statements, update Companies House when directors or addresses change, and keep you compliant with filing deadlines so penalties never become a surprise.

Yes. We regularly help founders who have started trading informally catch up on HMRC and Companies House registration, regularise their position, and put bookkeeping and tax routines in place going forward.
